Steven M. Szymanski | Partner
Steven Szymanski is a partner in our Milwaukee office. He assists clients in identifying legal and business issues affecting their businesses, and works with them and their advisors to produce legal and business solutions that are both practical and effective. Steve has substantial mergers and acquisitions experience. In this practice area, he has been involved in representing buyers, sellers, lenders and investors. The remainder of Steve’s practice involves counseling clients on everyday issues, including business formation, capitalization and finance, governance, taxation, succession and ownership planning, real estate, contract negotiation and drafting. Prior to joining Weiss Berzowski Brady LLP, Steve was a member of the tax department in the Milwaukee office of Arthur Andersen.
Representative Matters and Experience
- Representation of privately held companies in acquisition transactions ranging from $100,000 to over $250 million involving strategic buyers, private equity firms, management and traditional parties
- Representation of privately held companies in private placements of their securities with investors.
- Representation of privately held companies and key executives in the development and negotiation of executive employment agreements and incentive-based compensation arrangements.
- Assisted privately held company in the tax-free reorganization of its businesses in order to establish separate distinct business lines and position the distinct businesses for future sale and growth opportunities.
- Representation of lenders and borrowers in various commercial lending matters.
- Representation of privately held companies in transactions involving the purchase, sale and lease of commercial real estate and in the negotiation and drafting of commercial agreements.
- Successfully negotiated resolution of shareholder disputes, representing both minority and majority positions.
- Author of “General Partnerships” in the Business Advisor Series published by the State Bar of Wisconsin (2006)
- Member of the Board of Directors for the Tax Section of the State Bar of Wisconsin.
- Member of the Marquette Law Review; awarded best note for the 1996 Marquette Law Review Writing Competition; member of the Giles Sutherland Rich Intellectual Property National Moot Court team and was awarded Best Appellate Brief.
